Terms of Service

Zephix provides enterprise software development, cloud infrastructure, data solutions, mobile application development, cybersecurity, and digital transformation consulting services. Our Services may include: • Custom software development and implementation • Cloud migration and infrastructure management • Data analytics and business intelligence solutions • Mobile application development • Cybersecurity assessments and compliance • Technical consulting and advisory services We reserve the right to modify, suspend, or discontinue any part of our Services at any time.

To access certain features of our Services, you may be required to create an account. You agree to: • Provide accurate and complete information during registration • Maintain the security of your account credentials • Notify us immediately of any unauthorized access • Accept responsibility for all activities under your account We reserve the right to suspend or terminate accounts that violate these Terms.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and documentation, are owned by Zephix or our licensors and are protected by intellectual property laws. **Our IP**: You may not copy, modify, distribute, or create derivative works of our proprietary materials without express written permission. **Your Content**: You retain ownership of content you submit through our Services. By submitting content, you grant us a non-exclusive license to use it in connection with providing our Services. **Client Work**: Unless otherwise agreed in writing, custom software developed for clients becomes the client's property upon full payment.

For paid Services, you agree to pay all fees according to the pricing and payment terms presented to you. • Fees are non-refundable unless otherwise specified • We may change pricing with 30 days' advance notice • Late payments may incur interest charges • Failure to pay may result in suspension of Services All payments must be made in the currency specified in your agreement.

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our engagement. Confidential information includes: • Business strategies and plans • Technical specifications and source code • Customer data and information • Pricing and financial information This obligation survives the termination of these Terms for a period of three (3) years.

We warrant that our Services will be performed in a professional manner consistent with industry standards. **DISCLAIMER**: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • Our total liability shall not exceed the amounts paid by you for the Services during the twelve (12) months preceding the claim • We shall not be liable for indirect, incidental, special, consequential, or punitive damages • We are not responsible for losses resulting from unauthorized access to your account • Force majeure events excuse performance obligations These limitations apply regardless of the legal theory of liability.

You agree to indemnify, defend, and hold harmless Zephix and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorney's fees) arising from: • Your use of the Services • Your violation of these Terms • Your violation of any rights of third parties • Any content you submit through our Services

Either party may terminate these Terms: • With 30 days' written notice for convenience • Immediately for material breach that remains uncured after 15 days' notice • Immediately if the other party becomes insolvent Upon termination, you must cease use of our Services and pay all outstanding fees. Provisions that by their nature should survive termination will remain in effect.

These Terms shall be governed by the laws of Bangladesh, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through: 1. Good faith negotiation between the parties 2. Mediation, if negotiation fails 3. Binding arbitration in Dhaka, Bangladesh The prevailing party shall be entitled to recover reasonable attorney's fees.

**Entire Agreement**: These Terms constitute the entire agreement between you and Zephix regarding the Services. **Severability**: If any provision is found unenforceable, the remaining provisions will continue in effect. **Waiver**: Failure to enforce any right does not waive that right. **Assignment**: You may not assign these Terms without our consent. We may assign our rights and obligations. **Notices**: We may send notices via email or through our Services.
